AGENT TO BROKER UPGRADE

AGENT CREDENTIALS

BROKER UPGRADE ACKNOWLEDGMENT, CONDITIONS & ENFORCEMENT

By submitting your request to upgrade from an Agent to a Broker within the TruPowur platform, you expressly acknowledge, understand, and agree to the following legally binding terms:

You acknowledge that the upgrade to Broker status constitutes a material advancement within the TruPowur system and requires the immediate allocation of substantial financial, technological, and operational resources by TruPowur, including but not limited to CRM configuration, pricing platform access, supplier integrations, reporting systems, training infrastructure, and ongoing support services. These resources are deployed upon upgrade and are non-recoverable once provisioned.

You expressly acknowledge and agree that the upgrade from Agent to Broker is final, permanent, and non-reversible. Under no circumstances will TruPowur approve or process any request to downgrade, revert, or otherwise return a Broker account back to Agent status. No exceptions will be granted, regardless of usage, production level, financial hardship, misunderstanding, or change in personal or business circumstances.

You further acknowledge that upon acceptance of your Broker Upgrade Request, TruPowur will require the completion and execution of updated documentation, agreements, and disclosures via DocuSign. You understand that the upgrade is not considered fully executed or valid until all required documents have been properly completed and signed through DocuSign. Failure to complete the required documentation does not cancel or reverse the upgrade request and may result in enforcement of applicable terms and obligations.

You further acknowledge that upon upgrade, you are entering into a binding Broker License/SaaS Agreement, which includes a recurring monthly license fee and associated contractual obligations. You agree to maintain your account in good standing, including timely payment of all fees due. Failure to utilize the platform, generate production, or access provided resources does not relieve you of your financial obligations under the Agreement.

You understand and agree that the financial commitment associated with the Broker License is supported by TruPowur’s ongoing investment in infrastructure, systems, and services, which significantly exceed the monthly license fee paid by the Broker. As such, all fees are earned upon provisioning and are non-refundable.

NO DOWNGRADE / NO REFUND / CHARGEBACK PROHIBITION

All upgrade actions are final. No downgrades, reversals, or refunds will be issued under any circumstances.

You are expressly prohibited from initiating any chargeback, dispute, or payment reversal with your financial institution related to the Broker upgrade or associated fees.

Any such action constitutes a willful and material breach of contract and will trigger immediate enforcement remedies.

ENFORCEMENT, DAMAGES & LEGAL ACTION

In the event of breach, including but not limited to unauthorized chargebacks, refusal to remit amounts due, or violation of the non-reversal policy, TruPowur reserves all rights to pursue enforcement to the fullest extent permitted by law, including but not limited to:

• Immediate acceleration of damages, including up to one (1) full year of Broker License/SaaS fees

• Recovery of all outstanding balances, fees, and obligations due under the Agreement

• Assessment of legal fees, court costs, administrative fees, and collection expenses

• Enforcement of all applicable contractual provisions, including restrictive covenants and non-disparagement obligations

These obligations shall remain enforceable for a period of five (5) years from the date of execution of this acknowledgment or termination of the Agreement, whichever is later.

Any attempt to circumvent the terms of the Agreement, avoid financial responsibility, or engage in unauthorized dispute activity may be evaluated under applicable law, including but not limited to Texas Penal Code § 31.04 (Theft of Services), where applicable.

FINAL ACKNOWLEDGMENT

By proceeding with the Broker upgrade and submitting this acknowledgment, you confirm that you have read, understood, and agreed to all terms outlined above in their entirety, and that you are voluntarily electing to proceed with full knowledge that the upgrade is permanent, financially binding, and strictly enforced.
